Welcome to Onward Edu. These Terms of Service (the "Terms") form a binding legal agreement between you ("you" or the "User") and Onward Edu ("Onward", "we", "us", or "our"). These Terms govern your access to and use of the Onward Edu mobile application, website, dashboards, application programming interfaces, AI-supported features, and all related services (collectively, the "Platform").
Please read these Terms carefully. By creating an account, accessing the Platform, or otherwise using any part of the services, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Platform.
If you are entering into these Terms on behalf of an educational institution, employer, or other organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include that organization.
1. About Onward Edu
1.1 Who We Are
Onward Edu is a career development platform designed primarily for individuals aged fifteen (15) to twenty-five (25). Our mission is to help students and early-career users understand their career potential, build their professional identity, and prepare for future opportunities.
The Platform is initially operated from and offered in Qatar, with planned expansion across the Gulf Cooperation Council region and internationally. Access to specific features may vary by jurisdiction, user type, and applicable law.
1.2 What Onward Is Not
For the avoidance of doubt, Onward is a software platform that provides tools, information, and connections. Onward is not, and does not act as:
- a recruitment or staffing agency, and does not place candidates with employers;
- a university, school, or other educational institution;
- an employer of any user of the Platform;
- a licensed career counselor, psychologist, or professional advisor of any kind; and
- a licensed provider of legal, financial, medical, immigration, or educational advice.
The Platform provides software tools and informational content only. Any decision about your career, education, employment, or other life matters remains solely your responsibility.
2. Eligibility and Accounts
2.1 Age Requirements
The Platform is intended for users aged fifteen (15) and above. By creating an account, you represent and warrant that you meet this minimum age requirement in the jurisdiction where you access the Platform.
If you are under the age of eighteen (18), or below the age of majority in your jurisdiction, you may only use the Platform with the involvement, consent, and where applicable the ongoing supervision of a parent or legal guardian. Your parent or legal guardian is responsible for your use of the Platform and is bound by these Terms alongside you.
Where the Platform is offered through a school, university, or other educational institution, the institution may act as the party providing or arranging parental notification or consent under applicable law. We may require additional verification steps for users we believe to be minors.
2.2 Account Types
The Platform supports multiple account types, each with different features and permissions:
- Student accounts for individuals using the Platform for their own career development;
- Employer accounts for organizations that post opportunities, review applicants, or otherwise engage with candidates through the Platform;
- Institutional accounts for schools, universities, or other educational entities;
- Advisor accounts for individuals authorized to support assigned students; and
- Administrator accounts for Onward personnel who manage moderation, approvals, and Platform operations.
Each account type is subject to the sections of these Terms that apply to it, and any additional written agreements between Onward and the applicable organization.
2.3 Account Registration and Security
When you register, you agree to provide accurate, current, and complete information, and to keep that information up to date. You are responsible for all activity under your account, and for maintaining the confidentiality of your credentials.
You must promptly notify us if you suspect unauthorized access to your account or any breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials, subject to any rights that cannot legally be waived.
You may not share your account with any other person, transfer your account, or create an account for another person without their knowledge and, in the case of a minor, without appropriate consent.
2.4 Verification
We may, but are not obligated to, verify identity, age, educational status, employment status, or other information provided by users or organizations. Verification, or the absence of verification, does not constitute an endorsement by Onward of any user, employer, institution, or opportunity.
3. Description of the Platform
3.1 Student Features
Depending on account status and applicable permissions, students may:
- create and manage a personal account and profile;
- complete onboarding, career assessments, and skill assessments;
- receive an AI-generated career roadmap and profile analysis;
- build a curriculum vitae (CV) using the CV Builder;
- upload achievements, certificates, projects, and supporting documents;
- track milestones, micro-steps, and career progress;
- view and apply to internships, jobs, volunteering, and other opportunities;
- register for workshops, events, and programs; and
- receive career, skill, and opportunity recommendations.
Student profiles are private by default. You control whether to make specified portions of your profile visible to employers or institutions, subject to your privacy settings and the terms of any institutional program in which you participate.
3.2 Employer Features
Employers may create organization accounts, post internships and jobs, review applicants who have applied or who have consented to profile visibility, and manage recruitment activity within the Platform. Employers do not have unrestricted access to student profiles and may only view information consistent with user privacy settings and Platform permissions.
Onward is a technology intermediary. Onward does not participate in, and is not a party to, any hiring, employment, or engagement decision between an employer and a candidate.
3.3 Institutional Features
Educational institutions may create organization accounts, view analytics and engagement information about students assigned to or authorized within the institution, and monitor student progress consistent with the institution's legitimate role. Institutions cannot view students outside of the permissions established for them.
Institutions are responsible for their own use of the Platform, for compliance with applicable laws (including data protection, child protection, and education laws), and for their advising, admissions, and evaluation decisions.
3.4 Advisor Features
Advisors have access only to students who are specifically assigned to them. Within that scope, advisors may view student progress, review roadmaps, and monitor development to provide guidance. Advisors cannot access unrelated student accounts or information.
3.5 Administrator Features
Administrators are internal personnel who manage Platform moderation, institution and employer approval, user moderation, safety operations, and system configuration. Administrator access is limited to what is reasonably necessary for those functions.
3.6 Changes to the Platform
We may add, modify, suspend, or remove features at any time, including in response to security, legal, safety, technical, or commercial considerations. Where a change materially reduces the functionality of a paid feature to which you are entitled, we will use commercially reasonable efforts to give you notice consistent with applicable law.
4. Artificial Intelligence Features
4.1 AI Features Offered
Onward uses artificial intelligence and automated analysis ("AI") to support career development. Current and planned AI features include, without limitation:
- Career profile analysis and readiness indicators;
- Career roadmap generation and micro-step recommendations;
- CV Builder drafting and refinement suggestions;
- Career, skill, and opportunity recommendations;
- AI-generated summaries, nudges, and progress guidance;
- Future AI features such as interview preparation, cover letter assistance, resume review, an AI career coach, and career planning tools.
4.2 Nature and Limitations of AI Outputs
AI is a tool. AI systems are probabilistic and may produce results that are inaccurate, incomplete, outdated, biased, misleading, or otherwise unsuitable for your circumstances. AI outputs are generated based on the data and instructions available to the system at a given time and do not reflect independent professional judgment.
AI outputs are provided for informational and educational purposes only. They are not, and must not be treated as:
- employment, hiring, or human resources advice;
- legal, immigration, or regulatory advice;
- educational, admissions, or academic advice;
- financial, tax, or investment advice; or
- medical, psychological, or mental health advice.
You are responsible for independently reviewing, verifying, and, where appropriate, obtaining qualified professional advice before relying on any AI-generated output.
4.3 No Guarantee of Accuracy or Suitability
We do not warrant that AI outputs will be accurate, complete, current, useful, appropriate for a particular purpose, or free from bias. We do not warrant that AI-generated recommendations will be suitable for your career, educational, personal, cultural, or other circumstances.
4.4 AI Does Not Make Consequential Decisions
AI does not make, and is not authorized to make, decisions on the Platform regarding:
- hiring, employment, or termination of any user;
- admission to, or exclusion from, any educational program;
- the award of scholarships, grants, or financial benefits; or
- any other decision that has a legal or similarly significant effect on a user.
Employers, institutions, advisors, and users remain solely responsible for their own decisions. Where the Platform surfaces AI-assisted rankings, recommendations, or readiness indicators, those signals are inputs into human review and not a substitute for it.
4.5 Transparency and Human Oversight
We aim to be transparent about where and how AI is used within the Platform. Content, suggestions, or recommendations produced substantially by AI are identified as such where reasonably practicable. Onward maintains internal controls and human review processes for high-impact AI features, particularly those involving minors or safety-sensitive content.
Nothing in this section should be read as a claim of certification, accreditation, or compliance with any particular AI, safety, or algorithmic standard.
4.6 User Content Used with AI
When you use an AI-supported feature, information you provide (including profile data, uploaded documents, prompts, edits, and feedback) may be processed by Onward and by third-party AI service providers acting on our behalf, as further described in the Privacy Policy. You should not submit information to AI features that you would not want processed for these purposes.
4.7 Prohibited AI Uses
You may not use AI features to generate content that is unlawful, harmful, harassing, sexually explicit, hateful, deceptive (including impersonation or misrepresentation of qualifications), or otherwise in violation of these Terms. You may not attempt to bypass AI safety controls, extract system prompts or model weights, or use the Platform to train competing AI systems.
5. No Guarantee of Outcomes
Onward is a preparation and discovery platform. Onward does not guarantee, promise, or ensure:
- any offer of employment, internship, or other paid or unpaid engagement;
- any interview, callback, or response from any employer;
- any admission, transfer, or acceptance to any educational institution or program;
- any scholarship, grant, bursary, or other financial award;
- any acceptance to a volunteering opportunity, workshop, event, or program;
- any specific career outcome, salary, promotion, or professional trajectory;
- the quantity, quality, or availability of opportunities visible to you at any time;
- networking success or the willingness of any other user to communicate with you; or
- that any content, recommendation, or match will be suitable for you.
Career outcomes depend on many factors outside our control, including your effort, market conditions, employer and institutional decisions, and factors specific to you. Your use of the Platform is undertaken with this understanding.
6. User Content
6.1 What You May Submit
The Platform allows you to submit information and materials, including profile information, education history, skills, experiences, resumes, certificates, awards, projects, profile photos, videos (including elevator pitch videos), written posts, comments, and other content (collectively, "User Content").
6.2 Ownership
You retain all right, title, and interest that you have in and to your User Content. These Terms do not transfer ownership of your User Content to Onward.
6.3 License to Onward
You grant Onward a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers and successors), and transferable license to host, store, cache, reproduce, adapt (for formatting, indexing, and safety purposes), display, distribute, and otherwise process your User Content solely to operate, provide, secure, maintain, improve, and enhance the Platform, to perform the services you request (including sharing your profile or application with a chosen employer or institution), to prevent misuse and enforce these Terms, and to comply with law.
This license does not authorize Onward to sell your User Content, to use your likeness for third-party advertising without your consent, or to use your User Content for purposes materially outside the operation and improvement of the Platform, except as permitted by the Privacy Policy or with your consent.
The license continues for as long as your User Content remains on the Platform, and for a reasonable period thereafter to the extent necessary for backup, audit, legal, safety, or dispute-resolution purposes.
6.4 Your Representations
You represent and warrant that: (a) you own your User Content or have all rights necessary to submit it and grant the license above; (b) your User Content is accurate and not misleading; (c) your User Content does not infringe or misappropriate any third party's intellectual property, privacy, publicity, or other rights; and (d) your User Content complies with these Terms and applicable law.
6.5 Content Removal
We may, but are not obligated to, review, moderate, refuse, remove, or restrict access to User Content that we reasonably believe violates these Terms, is unlawful, or presents a safety risk. Removal decisions are made in our reasonable discretion and, for safety-sensitive content, may be made without prior notice.
7. Onward's Intellectual Property
7.1 Ownership of the Platform
The Platform and all associated materials, including software, source code, object code, application programming interfaces, databases, structure, look and feel, branding, the Onward name, logos, the Onno mascot, illustrations, sound, user interface designs, user experience flows, graphics, animations, AI systems, models, prompts, weights, algorithms, workflows, documentation, and all related intellectual property (collectively, the "Onward Materials") are owned by Onward or its licensors.
7.2 Limited Licence to You
Subject to your compliance with these Terms, Onward grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for its intended purpose. All rights not expressly granted are reserved.
7.3 Restrictions
You may not: (a) copy, modify, or create derivative works of the Onward Materials except as expressly permitted by the Platform; (b) reverse engineer, decompile, or otherwise attempt to derive source code, models, or algorithms; (c) use any Onward Materials for machine-learning training, benchmarking, or the development of competitive products or services; (d) remove or obscure any proprietary notices; or (e) use Onward's trademarks, name, or branding without our prior written consent.
7.4 Feedback
If you send us suggestions, ideas, feature requests, or other feedback about the Platform, you grant Onward a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and exploit that feedback for any purpose, without obligation or compensation to you. You waive, to the extent permitted by law, any moral rights in such feedback.
8. Acceptable Use
You agree to use the Platform lawfully, responsibly, and in a manner that respects other users. Without limiting the foregoing, you must not, and must not attempt to, do any of the following:
8.1 Unlawful or Harmful Conduct
- use the Platform for any unlawful purpose, or in furtherance of fraud, financial crime, or deception;
- impersonate any person or organization, misrepresent your affiliation, or falsify credentials, qualifications, education, employment history, or achievements;
- post fake job listings, fake opportunities, or fake employer or institutional identities;
- engage in harassment, bullying, threats, stalking, hate speech, discrimination, or targeting of any user, including on the basis of protected characteristics;
- post or transmit content that is defamatory, obscene, pornographic, sexually explicit, or sexually suggestive, including any such content depicting or involving minors;
- solicit personal information from minors, contact minors outside legitimate Platform features, or attempt to establish inappropriate contact with any minor;
- share instructions or content that facilitates self-harm, violence, terrorism, or other illegal activity;
8.2 Technical Misuse
- scrape, crawl, harvest, or otherwise extract data from the Platform, whether manually or through automated means, except through interfaces we expressly authorize;
- reverse engineer, disassemble, decompile, or attempt to extract source code, prompts, model weights, or trade secrets;
- use bots, scripts, or automation to create accounts, submit content, apply to opportunities, or interact with AI features, except through authorized interfaces;
- introduce or transmit malware, viruses, worms, ransomware, or other malicious code;
- engage in denial-of-service attacks, load testing, penetration testing, or other activities that interfere with the operation, security, or availability of the Platform, except under a written testing agreement with Onward;
- bypass, disable, or attempt to circumvent authentication, rate limits, content moderation, safety controls, geofencing, or other security or protective features;
- access parts of the Platform you are not authorized to access, or use another user's credentials;
8.3 Content and Commercial Misuse
- spam, send unsolicited commercial communications, advertise, or promote unrelated products or services;
- upload content that infringes third-party intellectual property, privacy, publicity, confidentiality, or other rights;
- resell, sublicense, or commercially exploit the Platform or any content obtained through it, except as expressly permitted; or
- use the Platform to build, benchmark, or train any product or model that competes with Onward, including any AI model.
8.4 Enforcement
We may investigate suspected violations of this section and take any action we reasonably consider appropriate, including warning users, removing content, restricting features, suspending or terminating accounts, and, where required, cooperating with law enforcement or other authorities. We may act without prior notice for safety-sensitive violations.
9. Additional Terms for Employers
9.1 Employer Responsibility
Employers are solely responsible for their listings, communications, and hiring decisions, including:
- the accuracy, legality, and completeness of job, internship, and volunteering listings;
- compliance with all applicable labour, employment, non-discrimination, wage, minor-employment, work-permit, and immigration laws;
- the terms of employment or engagement offered to any candidate;
- candidate communications, interview conduct, and offer processes; and
- data protection obligations regarding candidates whose information the employer accesses or receives through the Platform.
9.2 Onward's Role
Onward is not the employer of any candidate presented through the Platform, is not a party to any employment or engagement contract, and does not act as a recruitment agent. Onward makes no representations regarding any candidate's suitability, qualifications, or availability.
9.3 Minors
Where an employer engages with users under the age of eighteen (18), the employer is responsible for complying with all applicable child-labour, safeguarding, working-hours, parental-consent, and educational-continuity requirements. Onward may restrict the visibility of minor users to employers and may impose additional safeguards for opportunities involving minors.
9.4 Prohibited Employer Conduct
Employers may not: post fraudulent, misleading, or discriminatory listings; require candidates to pay fees to apply; solicit sensitive personal information not necessary for the role; use Platform information for purposes unrelated to legitimate recruitment; or contact candidates outside the Platform in ways that violate applicable law or the candidate's stated preferences.
10. Additional Terms for Educational Institutions and Advisors
10.1 Institutional Responsibility
Educational institutions remain responsible for advising, evaluating, and supporting their students, including:
- all educational, academic, admissions, and disciplinary decisions;
- compliance with applicable education, child-protection, and data-protection laws;
- the accuracy of institutional listings and program information; and
- the conduct of personnel accessing the Platform on the institution's behalf, including advisors and administrators.
10.2 Advisor Conduct
Advisors must access student information only for legitimate advising and support purposes, must maintain confidentiality, and must not share student information beyond what is necessary and authorized. Advisors may not use student information for personal gain, marketing, or unrelated purposes.
10.3 Consent and Notice
Where the Platform is offered to students through an institution, the institution is responsible for providing appropriate notice and, where required, obtaining consent from students and their parents or legal guardians. Onward may require written confirmation of consent processes and may condition institutional access on those confirmations.
11. Privacy
Your use of the Platform is subject to our Privacy Policy, which explains what information we collect, how we use and share it, the choices you have, and how we protect it. The Privacy Policy is incorporated into these Terms by reference.
To the extent of any conflict between these Terms and the Privacy Policy on matters expressly addressed by the Privacy Policy, the Privacy Policy governs.
12. Beta, Preview, and Experimental Features
From time to time, we may make features available on a beta, preview, pilot, alpha, or otherwise experimental basis ("Beta Features"). Beta Features are provided for evaluation, may be incomplete, may contain errors, may change materially, may be removed at any time, and may not be supported.
Beta Features are provided on an "as is" basis to the maximum extent permitted by applicable law. You use Beta Features at your own risk and should not rely on them for important decisions.
13. Availability and Maintenance
We aim to keep the Platform available but do not promise uninterrupted, error-free, or fully secure service. The Platform may experience scheduled or unscheduled downtime, maintenance windows, updates, degraded performance, outages, or partial unavailability, whether caused by us, our service providers, or events outside our control.
Except where required by applicable law or by a separate written agreement, we do not provide a service level guarantee. We may temporarily restrict access to portions of the Platform for security, integrity, or operational reasons.
14. Third-Party Services and Links
The Platform relies on and interacts with third-party services, including cloud infrastructure providers, analytics providers, authentication providers, AI service providers, communications providers, and, where applicable, payment providers. The Platform may also contain links to third-party websites, resources, or opportunities.
Onward is not responsible for third-party services or content beyond its reasonable control. Your use of third-party services is subject to the terms and policies of those third parties. We do not endorse and are not responsible for any third-party content, service, opportunity, or organization.
15. Gamification, Profile Strength, and Indicators
The Platform includes gamification and progress features such as profile strength percentages, badges, streaks, experience points, quests, roadmap progress, and readiness indicators. These signals are designed to encourage engagement, learning, and career preparation.
Such signals are informational only. They do not constitute an objective, standardized, or externally validated assessment of your ability, employability, or ranking relative to other users, and should not be presented externally as such. Employers and institutions should treat these signals as one input among many, and not as a substitute for their own review and judgement.
16. Fees, Subscriptions, and Purchases
16.1 Free and Paid Features
Certain features of the Platform are offered free of charge, while others may require payment, a subscription, or an institutional or employer plan. Pricing, billing cycles, features, and any free trial terms will be presented at the point of purchase before you incur any charge.
16.2 Payment
You agree to pay all fees for the services you order, including any applicable taxes. Payments may be processed by third-party payment providers, whose terms will apply to that processing. You are responsible for maintaining accurate billing information.
16.3 Renewal and Cancellation
Subscriptions renew automatically for successive periods unless cancelled before the end of the then-current period. You may cancel a subscription through the Platform or through the applicable app-store account, as indicated at purchase. Cancellation takes effect at the end of the current billing period unless otherwise required by law.
16.4 Refunds
Except where required by mandatory consumer protection law, fees are non-refundable, and partial periods are not credited. Where you have a legal right to a refund, we will honour that right in accordance with applicable law.
16.5 Price Changes
We may change pricing for future billing periods. We will provide reasonable advance notice of price changes, and you may cancel before the change takes effect. Continued use after the effective date constitutes acceptance of the new pricing.
17. Suspension and Termination
17.1 By You
You may stop using the Platform at any time. You may request deletion of your account through the in-app settings or by contacting us. Deletion is subject to reasonable retention necessary for legal, security, audit, dispute-resolution, and backup purposes, as further described in the Privacy Policy.
17.2 By Onward
We may suspend, restrict, or terminate your access to all or part of the Platform, immediately and without prior notice where reasonable, if we believe that:
- you have violated these Terms, the Privacy Policy, or applicable law;
- your conduct presents a safety, security, legal, or reputational risk to Onward, its users, or third parties, including a risk to minors;
- you have engaged in fraud, misrepresentation, or abuse of the Platform, including of AI features;
- required by law, regulation, court order, or lawful request of a competent authority; or
- we have discontinued the Platform, a feature, or a specific offering.
Where we do not need to act urgently for safety, security, or legal reasons, we will use commercially reasonable efforts to give you notice and, where appropriate, an opportunity to cure the issue.
17.3 Effect of Termination
Upon termination, your right to access the Platform ends. Sections of these Terms that by their nature should survive termination (including, without limitation, ownership, feedback, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and general provisions) will survive.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, ALL CONTENT, AI OUTPUTS, RECOMMENDATIONS, AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
Onward specifically disclaims, to the maximum extent permitted by applicable law, all implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy, and any warranties arising out of course of dealing or usage of trade.
Onward does not warrant that: (a) the Platform will meet your requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) any information (including AI outputs, recommendations, or opportunity details) will be accurate, complete, current, or reliable; (d) errors will be corrected; or (e) the Platform is free from viruses or other harmful components.
No advice or information, whether oral or written, obtained by you from Onward or through the Platform, creates any warranty not expressly stated in these Terms.
This section does not exclude or limit any warranty, right, or remedy that cannot be lawfully excluded or limited under applicable law. Where such rights apply, they prevail over this section to the extent of any conflict.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) Onward, its affiliates, and their respective officers, directors, employees, agents, service providers, and licensors (collectively, the "Onward Parties") will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for lost profits, lost revenue, lost business opportunities, lost data, loss of goodwill, or reputational harm, arising out of or relating to these Terms or the Platform, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not the Onward Parties have been advised of the possibility of such damages.
(b) Without limiting the foregoing, the Onward Parties will not be liable for: employment or engagement outcomes; hiring, admissions, or scholarship decisions; the acts, omissions, or content of any employer, institution, advisor, or other user; the accuracy, completeness, or suitability of AI outputs or recommendations; disputes between users; unauthorized access to your account resulting from your failure to safeguard credentials; loss of profile data resulting from your own actions; or matters outside our reasonable control.
(c) The aggregate liability of the Onward Parties to you for all claims arising out of or relating to these Terms or the Platform will not exceed the greater of (i) the amount you paid to Onward for the Platform in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred United States dollars (USD 100) or its equivalent in the applicable local currency.
The limitations in this section apply to the maximum extent permitted by applicable law, and are a fundamental part of the bargain between you and Onward. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the smallest extent permitted by law, and nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited.
20. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Onward Parties from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your access to or use of the Platform;
- your User Content, including any claim that your User Content infringes or misappropriates any third party's intellectual property, privacy, publicity, or other rights;
- your violation of these Terms, the Privacy Policy, or applicable law;
- your violation of any rights of another user or third party, including employers, institutions, advisors, and other students;
- your interactions or disputes with other users, employers, institutions, or third parties, whether on or off the Platform; and
- in the case of employers and institutions, hiring, admissions, evaluation, or engagement decisions, and any regulatory or employment claims associated with those decisions.
We may, at our option, assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence. You may not settle any matter that imposes any obligation on the Onward Parties without our prior written consent.
21. Force Majeure
Onward will not be liable for any failure or delay in performance under these Terms to the extent caused by events or circumstances beyond its reasonable control, including natural disasters, extreme weather, fire, flood, epidemic, pandemic, public health emergency, war, terrorism, civil unrest, government action, embargo, sanctions, labour disputes, power or telecommunications failure, internet outages, third-party service failures, cyber-attacks, or acts of a service provider or subcontractor.
During such an event, Onward's obligations will be suspended to the extent affected, and the time for performance extended accordingly. Onward will use commercially reasonable efforts to mitigate the effects and resume performance.
22. Governing Law and Dispute Resolution
22.1 Governing Law
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms, their subject matter, or their formation, are governed by and construed in accordance with the laws of the State of Qatar, without regard to its conflict-of-laws principles.
22.2 Informal Resolution
Before commencing formal proceedings, you agree to first contact Onward at the address listed in Section 26 and attempt to resolve the dispute informally in good faith. If the dispute is not resolved within sixty (60) days of your notice, either party may proceed under Section 22.3.
22.3 Jurisdiction
Subject to Section 22.2 and to any dispute-resolution mechanism required by mandatory law, the parties submit to the exclusive jurisdiction of the competent courts of the State of Qatar for the resolution of any dispute arising out of or in connection with these Terms. Onward may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or the safety of users.
22.4 Consumer Rights
Nothing in this Section 22 affects your right, as a consumer, to bring proceedings in the courts of your country of habitual residence, or to benefit from mandatory consumer protection provisions of the law of that country, where such rights cannot lawfully be waived.
23. Consumer Rights and Mandatory Law
Nothing in these Terms is intended to exclude, restrict, or modify any right or remedy that you have under applicable consumer protection, data protection, child-protection, or other mandatory law, where such rights or remedies cannot lawfully be excluded, restricted, or modified by contract.
If any provision of these Terms would, but for this Section, be unenforceable under such mandatory law, that provision will apply only to the maximum extent permitted, and the remaining provisions will continue in full force and effect.
24. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of these Terms and, where changes are material, provide reasonable notice through the Platform, by email, or by other appropriate means.
Changes take effect on the effective date indicated in the updated Terms. Your continued use of the Platform after that date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and, if you have an account, close it.
Where a change materially reduces your rights, we will use commercially reasonable efforts to inform you before it takes effect, and to give you the opportunity to reject the change by discontinuing use, subject to any applicable refund rights.
25. General Provisions
25.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly incorporated (including any organizational agreement with an institution or employer), constitute the entire agreement between you and Onward regarding the Platform, and supersede any prior or contemporaneous agreements, representations, or understandings on the subject matter.
25.2 Order of Precedence
In case of conflict between these Terms and any organizational agreement between Onward and an institution or employer, the organizational agreement governs to the extent of the conflict as between Onward and that organization. As between Onward and individual users, these Terms and the Privacy Policy govern.
25.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be so modified, severed. The remaining provisions will continue in full force and effect.
25.4 No Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision. Any waiver must be in writing and signed by an authorized representative of Onward.
25.5 Assignment
You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. Any purported assignment in violation of this section is void. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of our assets, or to an affiliate.
25.6 No Agency or Partnership
Nothing in these Terms creates any agency, partnership, joint venture, employment, franchise, or fiduciary relationship between you and Onward. Neither party has authority to bind the other.
25.7 Notices
We may provide notices to you through the Platform, by email to the address associated with your account, or by other reasonable means. You are responsible for keeping your contact information current. Notices to Onward should be sent to the address in Section 26.
25.8 Export and Sanctions
You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive economic sanctions or designated as a supporter of terrorism, and that you are not on any restricted-party list. You agree to comply with applicable export-control and sanctions laws in your use of the Platform.
25.9 Language
These Terms are drafted in English. Where a translation is provided, the English version prevails in the event of any conflict, except to the extent otherwise required by applicable law.
25.10 Third-Party Beneficiaries
Except where expressly stated (for example, the Onward Parties benefiting from disclaimers, limitations of liability, and indemnification), these Terms do not create any third-party beneficiary rights.
25.11 Headings
Headings are for convenience only and do not affect interpretation. References to "including" mean "including without limitation."
